Job Summary:

The Senior Corporate Counsel leads, develops, and coaches a team of attorneys and paralegals responsible for contracts and transactions.  The Senior Corporate Counsel reviews legal documents and manages and advises business partners to support achieving their goals. This position supports the Vice President of Corporate Legal and other members of the legal team, and oversees and/or prepares contracts, including those for mergers & acquisitions, international joint ventures and franchises. This position works with the Corporate Legal team and outside counsel to identify and prevent unnecessary legal exposure for the company.

Descriptions:

• Team Management:  Manages, trains, advises, and reviews a team of attorneys and paralegals involved in transactional and contract matters. 

• Contract Review:  Supervises and conducts review of agreements and contracts for different departments in the Support Center and Operations.  Reviews, drafts, and negotiates a broad range of legal work, including commercial contracts, corporate compliance, and transactions

• Transaction Management:  Supervises and coordinates corporate transactions in support the Company, including international development, mergers and acquisitions, and new concept development.

• Research & Analysis:  Supervises and conducts legal research and analysis of laws and regulations for senior leadership, department leaders, and Operations to provide guidance, assess exposure, and to achieve compliance balanced with business needs.

• Policies & Procedures: Develops, advises, and interprets policies and procedures consistent with current laws and regulations governing the Company.

• Development & Training:  Prepares curriculum on legal compliance issues and provides training for other Support Center and Operations teams to ensure legal compliance and best practices.

• Litigation Support:  Manages outside counsel and consultants on litigation matters.  Manages and works on litigation support efforts related to discovery, document review, production requests, and case management.
